Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the "Agreement") is made and entered into as of [Date], by and between The Iron Bulwark (“Organization”) and [Contributor Name] (“Contributor”), collectively referred to as the “Parties.”

1. Purpose

The Parties wish to engage in discussions and/or contributions for the purpose of writing articles or sharing content ideas for The Iron Bulwark. In connection with this Purpose, each Party may disclose to the other certain confidential and proprietary information.

2. Definition of Confidential Information

“Confidential Information” means all non-public information disclosed by either Party to the other, whether in oral, written, electronic, or any other form, including but not limited to personal information (such as name, email address, and contact details), content drafts, editorial plans, and any other materials shared in confidence.

3. Obligations of the Parties

Each Party agrees to:
(a) Keep all Confidential Information strictly confidential;
(b) Not disclose Confidential Information to any third party without the prior written consent of the other Party;
(c) Use Confidential Information solely for the Purpose described in this Agreement.

4. Exclusions from Confidential Information

Confidential Information does not include information that:
(a) Is or becomes publicly available through no fault of the receiving Party;
(b) Is lawfully obtained by the receiving Party from a third party without breach of any obligation;
(c) Is independently developed by the receiving Party without use of or reference to the Confidential Information.

5. Term

This Agreement shall remain in effect indefinitely unless and until either Party provides written notice of termination. Termination shall not affect the confidentiality obligations with respect to any Confidential Information disclosed prior to termination, which shall continue indefinitely.

6. Return or Destruction of Materials

Upon request by either Party, all documents or other materials containing Confidential Information shall be promptly returned, destroyed, or deleted.

7. No License or Ownership

Nothing in this Agreement grants any rights to either Party under any intellectual property or other rights of the other Party, except as expressly stated herein.

8. No Obligation to Proceed

This Agreement does not obligate either Party to proceed with any transaction or business relationship, and either Party may terminate discussions at any time.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions or agreements.
